Welcome to Kaz Creative Studio ("we," "us," "our," or "KCS"). These Terms of Service ("Terms") govern your access to and use of our AI-generated video production services (the "Services").
By purchasing, accessing, or using our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
KCS provides custom AI-generated video production services, including but not limited to:
AI Generation Disclaimer: Our Services utilize artificial intelligence technologies. While we maintain the highest quality standards (Meta-ban level), AI-generated content is inherently variable and cannot be guaranteed to produce identical or predictable results in every iteration.
2.1 Pricing: The standard price for a 16-second AI Ambassador video is $4,000 USD (tax included). Custom projects may be quoted separately.
2.2 Payment Terms: Full payment is required before project commencement. We accept payments via Wise (international bank transfer) and Stripe (credit card).
2.3 Non-Refundable: Once production begins (defined as the first AI generation iteration), all payments are non-refundable due to AI generation costs, computational resources, and time invested.
2.4 Pre-Commencement Cancellation: Cancellations made before project commencement are eligible for a full refund minus transaction fees (typically 3-5%).
3.1 Target Delivery: 14-21 business days after payment confirmation. This timeline is an estimate and not a guarantee.
3.2 Quality Priority: Our videos are held to the same standard that resulted in Meta platform bans for being "too realistic." We prioritize quality over speed. Delivery may be extended if AI generation does not meet our quality standards after 50-200+ iterations.
3.3 Delivery Method: Final deliverables will be provided via secure digital download link (WeTransfer, Google Drive, or similar).
3.4 No Liability for Delays: KCS is not liable for any damages, losses, or consequences arising from delivery delays, including but not limited to lost business opportunities, marketing campaign delays, or third-party commitments.
4.1 Included Revisions: Clients are entitled to two (2) rounds of reasonable revisions at no additional cost.
4.2 Additional Revisions: Additional revision rounds beyond the included two are available at $500 USD per round.
4.3 Scope Limitations: Revisions must be within the original project scope. Major changes (e.g., completely different concept, ambassador appearance, or product) constitute a new project and require separate payment.
4.4 AI Limitations: Due to the nature of AI generation, some specific requests may not be technically achievable. KCS will use reasonable efforts but cannot guarantee exact reproduction of Client's vision in all cases.
5.1 Client Rights: Upon full payment, Client receives a worldwide, perpetual, royalty-free license to use, reproduce, distribute, and publicly display the delivered video for commercial purposes.
5.2 KCS Portfolio Rights: KCS retains the right to use the delivered content in its portfolio, marketing materials, case studies, and promotional activities. Client may request anonymity if preferred.
5.3 Underlying IP: KCS retains all rights to its proprietary AI models, workflows, techniques, and methodologies. Client receives only the rights to the final delivered video content.
5.4 Third-Party Content: Client is responsible for ensuring they have all necessary rights, permissions, and licenses for any materials provided to KCS (e.g., product images, logos, brand assets).
KCS reserves the right to refuse service for projects involving:
If KCS determines, in its sole discretion, that a project violates these prohibitions, Client will receive a full refund, and the project will be terminated immediately.
7.1 Social Media Platform Risks: While our content has been flagged by Meta 3 times for being "too realistic," we cannot and do not guarantee that your video will or will not be flagged, banned, or removed by any social media platform (Meta/Facebook/Instagram, TikTok, YouTube, LinkedIn, etc.).
7.2 Platform Policy Changes: Social media platforms frequently update their AI content policies. KCS is not responsible for changes to platform policies that occur after delivery.
7.3 No Refunds for Platform Actions: Client acknowledges and agrees that KCS is not liable for and will not provide refunds if content is flagged, banned, removed, or restricted by any third-party platform.
7.4 Client Responsibility: Client is solely responsible for ensuring their use of the video complies with all applicable platform terms of service and content policies.
8.1 Quality Standard: KCS warrants that Services will be performed in a professional manner consistent with industry standards for AI-generated content.
8.2 "AS IS" Disclaimer: Except as expressly stated in Section 8.1, all Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.3 AI Technology Limitations: KCS does not warrant that:
8.4 No Guarantee of Results: KCS makes no guarantees regarding views, engagement, conversions, sales, or any other business metrics resulting from use of the delivered video.
9.1 Maximum Liability: To the fullest extent permitted by law, KCS's total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by Client for the specific project giving rise to the claim.
9.2 Excluded Damages: In no event shall KCS be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
9.3 Basis of Bargain: Client acknowledges that these limitations of liability are an essential element of the agreement between parties, and that KCS would not provide the Services at the stated price without these limitations.
Client agrees to indemnify, defend, and hold harmless KCS, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
11.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.
11.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nagoya, Aichi, Japan.
11.3 Informal Resolution: Before initiating formal legal proceedings, parties agree to attempt good-faith informal resolution via email for a period of 30 days.
11.4 Language: These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
12.1 Confidential Information: Each party agrees to keep confidential any proprietary or confidential information disclosed by the other party during the course of the project.
12.2 Exceptions: Confidentiality obligations do not apply to information that:
12.3 Portfolio Use Exception: As stated in Section 5.2, KCS's portfolio rights are not subject to confidentiality unless Client specifically requests anonymity.
KCS shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, labor disputes, government actions, internet or telecommunications failures, AI service provider outages, natural disasters, pandemics, or other force majeure events.
14.1 Right to Modify: KCS reserves the right to modify these Terms at any time. Modified Terms will be posted on our website with an updated "Last Updated" date.
14.2 Notice: Clients will be notified of material changes via email at least 30 days before the effective date.
14.3 Existing Projects: Projects already paid for and in progress will be governed by the Terms in effect at the time of payment.
15.1 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15.2 Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
These Terms, together with any written project proposal or statement of work, constitute the entire agreement between Client and KCS regarding the Services and supersede all prior or contemporaneous communications, whether oral or written.
